Trade terms for goods we sell.
From this page on, we are a seller, and these are the terms of that role. They govern physical goods quoted and sold by the Currawong buying desk, and they are deliberately separate from the verification report terms — a goods order never changes what a report promised, and we will never verify a supplier for you and then offer to replace them with ourselves.
BUYING DESK / TERMS
Who these terms bind, and who we are.
The seller is Currawong, operated by 济南深与国际贸易有限公司 (Jinan Shenyu International Trade Co., Ltd.), Unified Social Credit Code 91370105MAKM7P5L3P, registered in Jinan, Shandong, China — full registered record on the operator page. The buyer is the business named on the quote. These terms are for business-to-business sales. By accepting a quote you confirm you act for a business with authority to bind it; where the law of your place of business grants you protections that cannot be excluded, those protections apply and nothing here removes them.
1 — Quote, acceptance, contract
Every deal starts from a written quote naming a quote number, version, currency, expiry, the goods specification, quantity and tolerance, the DAP named place, and the total price with its included and excluded cost lines. A contract forms when you accept a specific quote version in writing and the full payment for it clears. Any change to amount, currency, quantity, specification, delivery place or terms produces a new quote version; older versions and any payment links attached to them lapse at that moment.
Quotes expire on their stated expiry (48 hours unless the quote says otherwise). An expired quote is re-reviewed, not revived.
2 — Payment
100% prepayment, in the single currency named on the quote, in one payment, to the entity named above and only through the payment channel named on the quote itself. We do not extend credit, offer terms, or accept part-payments. Duplicate or mistaken payments are refunded to the original payment path — never to a different account, and no message from us will ever ask you to redirect a payment.
Payment is verified on our side before anything is purchased; a screenshot or a confirmation page is not verification. Until verification completes, no goods are ordered and the order can still be cancelled at no cost.
3 — Specification and quality checking
The specification on the accepted quote version is the entire product agreement: material, dimensions, colour, quantity tolerance, and any sample or photo referenced by it. Substitutions are not permitted without a new version. Our pre-shipment checking is what the quote says it is — typically a count, a visual check against the specification, and photographs. A visual check cannot find hidden defects, material composition, or performance characteristics; if a defect of that kind matters to your use, say so in the brief so testing can be quoted or the order declined honestly.
4 — Delivery, risk and your side of a DAP deal
Goods ship DAP (Incoterms 2020) to the named place on the quote, by a carrier with online tracking. Risk transfers on delivery at that place. You are the importer: import clearance, duties, taxes, licences and any destination-market compliance are yours, and were stated before you accepted the quote. Time estimates on quotes are estimates built from supplier, inspection, freight and customs assumptions — they are given honestly, and none of them is a commitment to a date.
Deliveries go only to the place on the accepted quote version. A change of address is a new version, decided before shipment — after shipment it is a carrier redirection request, which we can ask for but cannot promise.
5 — Shortage, damage, defect and cancellation
Tell us in writing within 5 business days of delivery for shortage or transit damage (with photos of goods, packaging and labels — details in shipping and claims), and within 14 days of delivery for goods not matching the accepted specification. What follows is evidence-based: replacement, partial or full refund to the original payment path, as fits the proven gap. Cancellation before we purchase costs nothing; after purchase, we recover what the situation allows and refund the balance, stating what was already spent and why.
What we do not accept liability for: your resale outcomes, lost profit, or consequential loss — our liability for an order is capped at what you paid for it, except where the law that applies to you does not permit that cap. Events genuinely outside either party’s control (force majeure) suspend obligations for their duration, with prompt notice and honest options.
6 — Lawful trade only
No counterfeit or trademark-infringing goods, no misdeclaration or undervaluation, no shipment to a party or destination affected by export controls or sanctions, and no delivery to an address other than the one on the payment record. A request for any of these ends the order. You warrant that content you supply (designs, logos, artwork) is yours to use.
7 — Governing law, disputes, privacy
Each quote names its governing law and dispute route, and that statement controls for that order. Where a quote is silent, the parties first negotiate in good faith in writing; mandatory law at your place of business is never displaced by this page. Personal data handling for briefs and orders is described in the privacy notice; order data is shared only with the payment provider, supplier, inspection and carrier actually serving your order.
Conflict-of-interest disclosure, stated in the terms because it belongs here: on this desk we profit from the goods. The verification service’s conclusions are produced independently and cannot be edited by the buying desk; buying a report is never a precondition for a quote, and a quote is never a substitute for independent verification — including of us.
